| The TomSailor.it Affiliate Terms |
TERMS AND CONDITIONS
1) Subject-matter of the contract
This agreement is valid between TomSailor.it (from now on TomSailor.it) and the applying parties.
The purpose of our affiliation programme is to create a cooperation between TomSailor.it and the applicants, aimed at the realization of mutual benefits.
The applicants (from now on called “Partners”) will show on their websites banners or advertising links supplied by TomSailor.it, which will pay the Partners according to the conditions stated in these regulations.
2) Requirements for application
The application for our affiliation programme is completely free.
To become a “Partner” is simply necessary to have a website or a web page.
Each application will be examined and in our unquestionable opinion considered suitable or not. If the applying site will be judged suitable, it will receive a confirmation by e-mail or a telephone call within 30 days.
TomSailor.it reserves the right to revoke the Partnership agreement at any time if terms, conditions and all the clauses of these regulations are not observed.
TomSailor.it will not consider sites with offensive, illegal, pornographic contents or prejudicial to the image of our business.
For the same sites it is absolutely forbidden to show our trademarks, to use our name or to realize links to our site.
3) Registration.
In order to apply you must register by filling in the affiliation form available on our site.
By registering, the terms, conditions and clauses of these regulations are meant to be accepted, starting from the moment you press the button “continue” on the relevant form.
Likewise the registration implies the consent to treat personal data according to Legislative Decree no. 196, dated 30 June 2003 (see the relevant section “Information about Privacy”).
The affiliation programme will be immediately effective.
4) Responsibility of the partner.
The partner is responsible for the execution of the operations needed for the correct functioning of the affiliation system.
The Partner must use our links exclusively for this affiliation programme and mustn’t modify their content in no way.
5) Responsibility of TomSailor.it
TomSailor.it is responsible for the monitoring procedures concerning the affiliation programme and the management of the data relating to the online purchases.
TomSailor.it is not responsible for the service interruption due to technical problems or any other impediment.
6) Functioning
After registration, the Partner Site must include our banners in its own pages, choosing among those it considers more suitable.
From this moment the users, who will be directed towards our site, will be linked to the original partner and memorized in our database for a limited period (“latency period”).
If during this period the user generates one or more orders, the original partner will be given a “percentage commission” on the price of the ordered products, excluding VAT and transport. In case of renunciations, impossibility to carry out the order for unexpected unavailability of the product itself, false consignee or other reasons, TomSailor.it won’t pay any commission.
If during the “latency period” the same user linked to a partner enters TomSailor.it directly or from another partner site and generates an order, the commission will be given to the first original partner.
7) Specifications.
The “percentage commission” is fixed at 3%.
The “latency period” is fixed in 30 days.
8) Payments.
TomSailor.it will issue payments quarterly, with reference to the four solar quarters.
January-March , April-June, July-September, October-December.
Within the first ten days of the month following the quarter deadline, TomSailor.it will send a statement of account, further to which the partner has to issue an invoice, payable at 30 days, equivalent to the amount of the statement account. The payment of the invoice will be made through bank transfer (unless otherwise agreed).
If the sum due in the quarter is lower than € 50,00, the amount will be paid off in the following quarter or at the cancellation of this agreement.
9) Modifications of the agreement
TomSailor.it reserves the right to modify the terms and conditions of this agreement informing the Partner (also by e-mail or fax) and including the text of the new agreement on its website. If the Partner doesn’t accept the modifications, he will have to inform TomSailor.it by written communication, also by fax, and this agreement will be considered cancelled. In case of non-communication from the Partner, the introduced modifications will be considered accepted.
10) Controversies
Any controversy between TomSailor.it and one or more partners, will fall under the jurisdiction of the Court of Lodi (Italy).
